Introduction

Each time you access or use Job Clerk's online and/or mobile services and websites, including any Job Clerk mobile application and browser extension or plugin, regardless of where it is downloaded from (collectively, "Apps"), and any software, service, feature, product, program, and element provided by or on behalf of Job Clerk on or in connection with such services or websites (collectively, the "Website"), you are agreeing to the terms and conditions of these Terms of Service (the "Agreement") then in effect with Job Clerk.

You agree that by creating an account, you are entering into a legally binding contract with Job Clerk. If you do not agree to this Terms, do not click create an account or Sign Up or Join Now and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

Any person who accesses or uses the Service, whether on their own behalf or on behalf of any third party, is considered a "User.". Subject to your compliance with these Terms, Job Clerk hereby grants you a non-exclusive, revocable, non-transferable license to access and utilize the Service for your personal purposes. Unless otherwise specified in writing, the Service is intended solely for your personal use and not for resale. Job Clerk reserves the right at all times and without prior notice to: (1) restrict and/or terminate your access to the Service (or any portion thereof); and (2) modify or discontinue providing the Service (or any portion thereof).

Accessing Job Clerk

By visiting our Website or other services, whether or not you become a registered user, you accept these Terms and agree to comply with them. If you do not agree with these Terms, you must immediately stop using the Website and Apps. We reserve the right to change the Terms by posting the new version to this page and, where appropriate, notifying you of such change via email.

Every time you wish to use our Website or Web Extension, please check these terms to ensure you understand the terms that apply at that time. You can review the current version of the Terms which apply to your use of the Website on this page. In consideration of you agreeing to abide by the Terms, we hereby grant to you a non-exclusive, non-transferable, licence to use our Services.

We may update and change our Website and Web Extension time to time to reflect changes to our products, our users' needs and our business priorities. We do not guarantee that our Website and Web Extension, or any content on them, will always be available uninterrupted or error free and we reserve the right to withdraw, suspend or amend the services or functionality that we provide on the Website or Web Extension without notice for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

Eligibility: You represent and warrant that you are at least 18 years of age and that you have not been previously suspended or removed from the Service.

We will not be liable if for any reason the Website or Web Extension is unavailable at any time or for any period. If you choose, or you are provided with, a password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these the Terms.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at hello@jobclerk.com We do not guarantee that our Website or App will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our Website or App. You should use your own virus protection software. You must not misuse the Website or App by knowingly introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the App, the server on which the Website or App are stored or any server, computer or database connected to the Website or App. You must not attack our Website or App via a denial-of-service attack or a distributed denial-of service attack. If you do so, you may be committing a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, we reserve the right to immediately cease your right to use the Website and App. You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our Website or App in any website that is not owned by you. Our Website must not be framed on any other site, nor may you create a link to any part of our Website other than the home page. We reserve the right to withdraw linking permission without notice.

Content Submitted to the Service

When you send or transmit information, opinions, creative suggestions, ideas, notes, concepts, or other materials (collectively, "Materials") to us, or when you post such Materials within any area of the Service, you grant Job Clerk and its designees a worldwide, non-exclusive, sublicenseable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), create derivative works of, publish, and publicly use such Materials in any media now known or hereafter developed. This grant extends to the enhancement and development of the Service, which includes marketing and advertising the Service, all without compensation to you. We assure you that your name will not be used in connection with any of your Materials that we incorporate into our advertising and marketing materials without first notifying you. None of the Materials will be subject to any obligation on our part, including confidentiality or attribution. Additionally, we will not be held liable for any use or disclosure of any Materials. It's important to note that Job Clerk may use the information users submit while filling out job applications using our services to improve our offerings, including reviews they may fill out to evaluate employers. Such information will be handled in accordance with our privacy policies. We neither endorse nor take responsibility for any opinion, advice, information, or statement made or displayed on the Service by any user. We do not endorse any errors or omissions in articles or postings, nor are we responsible for hyperlinks embedded in messages or any results obtained from the use of such information. Under no circumstances will Job Clerk and/or its affiliates, suppliers, or agents be liable for any loss or damage caused by your reliance on such information obtained through the Service. We cannot and do not assume responsibility for the accuracy, reliability, or completeness of any opinion, advice, information, or statement available on the Service. The opinions expressed on the Service by users reflect solely the opinions of those users and do not represent the opinions of Job Clerk. You acknowledge and agree that we have the right (but not the obligation) to monitor the Service and Materials, to alter or remove any Materials, and to disclose Materials and the circumstances surrounding their transmission to third parties. We do this in order to operate the Service properly, protect ourselves, our sponsors, members, and visitors, and comply with legal obligations or governmental requests. If you believe a message violates our member policies, please contact Job Clerk immediately at hello@jobclerk.com so that we can consider editing or removal. You are solely responsible for your Materials and the consequences of posting them on the Service. By posting Materials, you represent, warrant, and covenant that: (i) you are the creator and owner of the Materials or otherwise have sufficient rights and authority to grant the rights granted herein; (ii) your Materials do not and will not infringe upon or violate any third-party rights, including but not limited to any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right, and they will not slander, defame, or libel any other person; (iii) your Materials do not contain any viruses, adware, spyware, worms, or other harmful or malicious code; and (iv) unless you have received prior written authorization, your Materials specifically do not contain any confidential information of any third party. We reserve all rights and remedies against any users who breach these representations and warranties. The Service may allow Job Clerk Members to exchange messages ("Messages") with each other. Sending Messages is a privilege, not a right, and Job Clerk may terminate such privileges of any Job Clerk Member at any time and for any reason, without any liability to such Job Clerk Member. Harmful, obscene, or offensive communications are not welcome in any Messages. If a user sends you an objectionable Message, please notify us by sending an email to hello@jobclerk.com. You are solely responsible for the content of any Message you send. You agree that Job Clerk may monitor Messages for compliance with these Terms, and Messages should not be considered confidential or proprietary. You hereby grant us a worldwide, non-exclusive, sublicenseable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable license to reproduce and transmit your Messages in connection with facilitating transfer to the intended recipient through the Service and for such other purpose as Job Clerk may deem appropriate in its sole discretion.

Copyright and Notification of Alleged Copyright Infringement

Job Clerk respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that your copyrighted work has been used on the Service in a manner that constitutes copyright infringement under UK law and you wish to address the matter, we request that you provide us with a detailed written notice containing the following information: A physical or electronic signature of the copyright owner or a person authorized to act on their behalf. A description of the copyrighted work that you believe has been infringed upon. Identification of the specific location on the Service where the allegedly infringing material is located. Please provide us with a URL or other precise information that will allow us to locate the material. Your contact information, including your full name, mailing address, telephone number, and email address. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or UK copyright law. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. Please submit this information to hello@jobclerk.com. Job Clerk may request additional information before taking any action in response to your notice, and we may share your notice with third parties (including the alleged infringing party). Please be aware that you may be liable for damages (including costs and attorney's fees) if you materially misrepresent that material on the Service is infringing your copyright under UK law. If you are uncertain whether material on the Service is infringing your copyright under UK law, we suggest that you first seek legal advice in the UK.

Paid Accounts Fees

Access to Job Clerk or certain features of Job Clerk may require payment of fees. These fees could include one-time charges or subscription fees. You may also have the option to set up automatic recurring payments for subscription fees. Before making any payments, including activating or updating recurring payments, you will be presented with the opportunity to review the associated fees before accepting them. If you opt to activate or update recurring payments within Job Clerk, you grant authorization to Job Clerk or its third-party service providers to periodically charge your designated payment method for all accumulated charges until cancellation. Recurring subscriptions are set to automatically renew unless canceled as described within Job Clerk at least 24 hours before the current subscription period expires. Job Clerk may offer a free trial period during which you can access limited features of the service for a specified duration. You can manage or cancel your trial subscription through the methods outlined in Job Clerk. For any services you purchase, you must provide complete and accurate billing information, including a valid payment method. In the case of paid subscriptions, we will automatically charge your payment method for each agreed-upon renewal period until you decide to cancel. You are responsible for any applicable taxes, which we will charge as required. Failure to complete your payment may result in the downgrade of your account or suspension of access to our services until payment is received. Payments are generally non-refundable unless mandated by local laws regarding cancellation rights, which take precedence over these Terms. Job Clerk reserves the right to adjust its pricing periodically. In the event of an increase in subscription prices, we will provide you with at least 30 days' notice, and the price adjustment will become effective upon your next renewal, allowing you to cancel if you do not agree with the new pricing.

Payment Processing

Payment processing services for Job Clerk may be facilitated by a third-party payment processor, such as Stripe Inc. ("Payment Processor"). The Payment Processor manages credit card transactions for Job Clerk. Any information you provide to the Payment Processor will be handled in accordance with their privacy policy, which can be found at: Stripe Privacy Policy. By supplying your payment details to access Job Clerk's services, you consent to Job Clerk sharing relevant information with our Payment Processor to facilitate the service. You also acknowledge that you have read and agreed to the terms of the Payment Processor's privacy policy. The processing of credit card charges or credits related to your use of Job Clerk's services will be subject to the appropriate agreement with the Payment Processor. In the case of Stripe Inc., this agreement includes the Stripe Connected Account Agreement and the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). You hereby agree to be bound by the applicable Payment Processor agreement, which may be modified by the Payment Processor periodically. To enable payment processing services through a Payment Processor, you are required to provide accurate and complete information to Job Clerk, authorizing Job Clerk to share this information and transaction data related to your use of payment processing services provided by Job Clerk. Additional fees may be applicable to credit card payments.

Job Listings

Job Clerk may make available job listings and other job-related content, including links to third-party websites ("Job Listings"), through Job Clerk's search results or otherwise through the Site. Searching for Job Listings on Job Clerk is free for users. Job Clerk displays Job Listings based on various factors, including relevance and other information provided and activities conducted on the platform. Job Listings are created and provided by third parties, and Job Clerk does not control the content of Job Listings, links to or from Job Listings, or any conditions third parties might impose once a user has clicked on a Job Listing. Job Clerk provides source links to the original job listings indexed on its platform. These source links are intended to direct users to the original job listings hosted on third-party websites. Job Clerk does not endorse, control, or have any responsibility for the content, accuracy, completeness, legality, reliability, or availability of these source links or the job listings they lead to.

Users acknowledge and agree that by clicking on these source links and accessing third-party websites, they are subject to the terms and conditions, privacy policies, and practices of those third parties. Job Clerk disclaims all liability for any actions or transactions that occur on third-party websites, including the submission of job applications or any other interactions between users and third parties. For example, some third parties may charge users a fee to apply to a particular job, although Job Clerk endeavors not to make such Job Listings available on the Site. If you leave the Job Clerk Site and choose to enter a third-party website, you accept any terms and conditions imposed by that third party. Except for featured placements, the Job Listings contained on the Site are indexed or posted in an automated manner.

Job Clerk has no obligation to screen any Job Listings or to include any Job Listings in its search results or other listings. Job Clerk may exclude or remove any Job Listings from the Site without any obligation to provide reasoning for removal or exclusion. Users understand and agree that Job Clerk has no obligation to present them with any or all Job Listings. Job Clerk cannot confirm the accuracy or completeness of any Job Listing or other information submitted by any third party.

Job Matching and User Profiles

Job Clerk has a feature known as "Match," which involves the matching of a user's profile with job listings on our platform. This matching is not available to users at the moment. This matching function can be initiated by Job Clerk at its discretion, made available for user-initiated matches, or offered to Employers for matching purposes. We will inform you in due course before making this feature available for users or Employers.

By creating or uploading your profile on Job Clerk, you authorize Job Clerk to review or scan your profile and provide feedback, including suggested changes and job recommendations that align with your qualifications. Any feedback or information provided through these services is solely at your discretion, and you are responsible for deciding which jobs to apply for and what to include in your applications. Job Clerk assumes no responsibility and disclaims all liability for actions taken based on any provided feedback. We do not guarantee that recommended jobs are suitable for you. If you have an account, a Job Clerk profile, or an uploaded file resume, you agree that Job Clerk may associate your profile data with your profile on Job Clerk ("Job Clerk Profile"). Information in your Job Clerk Profile may be available to third parties, including Employers. You have the option to control the visibility of your Job Clerk Profile to third parties by setting your profile to "Not Searchable" or removing your profile.

Using Job Clerk Web Extension

Job Clerk offers a convenient Web Extension designed to assist users in filling out job application forms. This Web Extension acts as a co-pilot, streamlining the application process by automatically populating job application pages with information from the user's "My Portfolio." Our Web Extension is intended to save users time and effort by populating fields in job applications with relevant information.

Personal Statemtns

We generates personal statements (or cover letters) using Large Language Models, aiming to help users create compelling narratives to accompany their job applications. However, it's important to note that Large Language Models are not infallible, and there is a possibility of mistakes or inaccuracies in the generated content. Users are solely responsible for verifying and reviewing all information filled in their job applications by our auto Web Extension. This includes thoroughly checking the accuracy, completeness, and appropriateness of the content generated, as well as any pre-filled information. Job Clerk will make reasonable efforts to ensure the availability of the Web Extension service and use the Large Language Model(s) as advertised on our website. However, we reserve the right to temporarily change the specific Large Language Model(s) used without prior notice. We will inform users in case of a prolonged change of Large Language Model.

For users on our default free plan, we offer a certain number of personal statement generation credits. Additional personal statement creation credits are available as part of our Premium plan, which provides more extensive use of this service. Job Clerk strives to provide a valuable and efficient tool for users, but it's important to acknowledge that the final responsibility for the content submitted in job applications rests with the user.

Prohibited Use

Users of the Job Clerk Website and App are prohibited from engaging in the following activities: (i) Using the Website and App in any manner that may cause damage or interfere with the experience of other users. (ii) Making, transmitting, or storing electronic copies of copyrighted Content without the permission of the owner. (iii) Engaging in harmful, unlawful, illegal, abusive, harassing, threatening, or otherwise objectionable behavior or any actions that breach applicable laws, regulations, or governmental orders. Links to External Websites The Job Clerk Website and App may contain links to third-party websites and resources for informational purposes only. These links should not be construed as endorsements by Job Clerk of the linked websites or the information they provide. Unless explicitly stated, these third-party sites are beyond the control of Job Clerk and its affiliates. We bear no responsibility for the content of these external websites and disclaim any liability for any losses or damages incurred through their use. Inclusion of a link to another site on the Job Clerk Website or App does not signify our endorsement of the linked sites or their operators. Limitation of Liability We do not exclude or limit our liability to you where such exclusion or limitation is unlawful. This includes liability for death or personal injury caused by our negligence, the negligence of our employees, agents, or subcontractors, and for fraud or fraudulent misrepresentation. We are liable to you for foreseeable losses and damages resulting from our actions. If we fail to adhere to these Terms, we are responsible for losses or damages that are a direct result of our breach of contract or failure to exercise reasonable care and skill. However, we are not liable for losses or damages that were unforeseeable at the time of contract formation. Losses or damages are considered foreseeable if they were either obvious or known to both parties at the time of contract formation. Please be aware that we provide the Job Clerk Website and App for personal, non-commercial use by Candidates. You agree not to use our platform for any commercial or business purposes, and we bear no liability for any loss of profit, business interruption, or loss of business opportunity. General Except as explicitly stated in these Terms, the rights and remedies outlined herein are in addition to, and not in lieu of, any rights or remedies provided by law. Neither party will be considered in breach of these Terms or held liable for any delay or failure to perform their obligations under these Terms if such delay or failure results from events, circumstances, or causes beyond their reasonable control. All payments due under these Terms from you to us must be made in full without any set-off, counterclaim, deduction, or withholding, except for deductions or withholdings required by law. You must allow Job Clerk (or Job Clerk's authorized representatives or agents) access to your Account at all times for auditing purposes related to your use of the Website and App. You may not transfer your rights under these Terms to any other person. We reserve the right to transfer our rights under these Terms as long as your rights remain unaffected. These Terms, along with the Privacy Policy, constitute the entire agreement between the parties regarding their subject matter and supersede all prior discussions, arrangements, or agreements. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms, and no third party shall have the right to enforce or rely upon any provision of these Terms. If any court or competent authority deems any provision of these Terms (or part thereof) invalid, illegal, or unenforceable, such provision or part-provision shall be deleted to the extent required, and the validity and enforceability of the remaining provisions shall remain unaffected. Unless otherwise agreed, no delay, act, or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy. Please note that these Terms, their subject matter, and their formation are governed by the laws of England. Both you and we agree that the courts of England shall have exclusive jurisdiction.

Job Clerk is governed in accordance with the law of United Kingdom and any claim brought by you arising from, or related to, use of our Services shall be subject to the exclusive jurisdiction of the English courts.
